New Zealand market entryfor Chinese companies

HOCA helps Chinese companies establish and operate in New Zealand. We cover company incorporation, the resident director requirement, tax registration, banking and accounting setup, and the day-to-day local operation that follows — in Chinese and English.

Auckland central business district, where HOCA supports Chinese companies entering the New Zealand market

Who this is for

  • Chinese companies opening a New Zealand subsidiary or branch presence.
  • Chinese exporters appointing a local entity to hold contracts, staff or inventory.
  • Investors who need a compliant New Zealand structure before committing capital.
  • Groups already registered in New Zealand whose local entity is not operating properly.

The problem we solve

  • New Zealand company law requires at least one director who lives in New Zealand, or in a prescribed enrolled country.
  • Registration is only the beginning — tax, reporting and record-keeping obligations start immediately.
  • Bank onboarding and anti-money-laundering checks are slow and documentation-heavy for overseas shareholders.
  • Head office reporting expectations and New Zealand statutory requirements are rarely the same thing.

How HOCA supports you

  • Structure advice: subsidiary, branch or joint venture, and what each means for reporting and tax.
  • Incorporation with the New Zealand Companies Office, constitution and shareholder documentation.
  • Resident director support, with clear terms of engagement and a working governance framework.
  • IRD registrations, including income tax, GST and PAYE where relevant.
  • Bank account introduction and preparation of AML/CDD documentation.
  • Ongoing bilingual accounting, payroll and compliance so the entity stays in good standing.

Common questions

Does a New Zealand company need a local director?

Yes. A New Zealand company must have at least one director who lives in New Zealand, or who lives in an enrolled country and is a director of a company there. Requirements are set out by the Companies Office.

How long does incorporation take?

Registration itself is usually quick once director, shareholder and address details are complete and identity verification is done. Bank account opening is normally the longest step for an overseas-owned company.

Do we need to register for GST straight away?

GST registration is required once turnover passes the threshold set by Inland Revenue, and can be done voluntarily before that. We confirm the position against your expected activity rather than registering by default.

Can HOCA act as our resident director?

This is available as a considered engagement, not an automatic service. It requires an agreed governance framework, proper records and real oversight of the New Zealand entity.

Can reporting be provided in Chinese?

Yes. Statutory filings are prepared in English, and the management reporting pack for head office can be provided bilingually.
